1. Who we are
Structly is a trading name of Platinum Digital Enterprise Pty Ltd, an Australian company (ABN 57 676 841 357, ACN 676 841 357) with its registered office at 29/97 Creek Street, Brisbane QLD 4000. We are an ASIC Registered Agent (#53096) and an ASIC-approved Digital Service Provider. In these terms, "we", "us" and "Structly" mean Platinum Digital Enterprise Pty Ltd, and "you" means the person or entity using our services. By using Structly you agree to these terms.
2. What we do — and what we don't
We prepare and lodge company, ABN, business name, and related registrations with ASIC and the Australian Business Register on your behalf, and we provide the supporting documents and a dashboard to manage them.
We are not accountants, lawyers, or financial advisers, and we do not provide tax, legal, or financial advice. Information on our site and from Stanley (our assistant) is general information only. For advice about your circumstances, consult a qualified professional. You are responsible for choosing the structure and registrations that suit you.
3. Your responsibilities
You must provide accurate, complete, and current information, and you must be authorised to act for any company, trust, or person whose details you submit. Some registrations require a Director Identification Number, which each director must obtain themselves (free) from the ABRS. We rely on the information you give us and are not responsible for delays or rejections caused by incorrect, incomplete, or ineligible details — including unavailable names or missing Director IDs.
4. Fees and payment
Prices are shown at checkout in Australian dollars. For company and trustee registrations, the ASIC statutory fee is included and passed through to ASIC at cost; our service fee is the remainder of the price. A card-processing surcharge (currently 1.7%) is shown as a separate line, so the amount displayed is the amount charged. Payments are processed by Stripe — your card details never reach our servers. You authorise us to charge the total shown for the products in your basket.
5. Refunds
We refund our service fee in full if we fail to deliver your registration because of our systems, processes, or an error on our end. Refunds do not apply where a registration cannot be delivered because of customer-side issues — for example, incorrect director details, ineligible company or business names, a missing Director ID, or ASIC rejecting the application based on the information provided. In those cases we work with you to correct and resubmit at no extra service-fee cost. ASIC statutory fees are non-refundable once lodged, because ASIC does not refund them to us. To request a refund, email support@structly.com.au. Nothing in this clause limits rights you have under the Australian Consumer Law.
6. Structly Assist (subscription)
Structly Assist is an optional subscription (currently $39.90/month) with a 30-day free trial. If you don't cancel before the trial ends, the subscription continues and is billed to your card until cancelled. You can cancel at any time by emailing support@structly.com.au; cancellation stops all future charges immediately. We don't refund past billing periods beyond the free-trial window. Where Assist includes handling your ASIC annual review, the ASIC fee for that review is billed in addition to the subscription.
7. Renewals
Company annual reviews and business name renewals are paid services. Where you renew through us, we collect the ASIC fee plus our service fee and lodge the renewal with ASIC. We send reminders before due dates, but keeping your registrations current is your responsibility; we are not liable for lapses where a renewal was not requested or paid in time.
8. Timeframes
Many registrations complete within minutes, but turnaround depends on ASIC and the ABR and is outside our control. Any timeframes we quote are estimates, not guarantees. If a government system is unavailable, we lodge as soon as it is back up and let you know.
9. Intellectual property
The Structly name, brand, site, and software are owned by us or our licensors. The registration documents we prepare for you are yours to use for your business. You may not copy, resell, or reverse-engineer our platform.
10. Liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, and nothing in these terms limits those rights. To the extent permitted by law, our total liability for any claim connected with our services is limited to re-supplying the service or refunding the service fee you paid for it, and we are not liable for indirect or consequential loss. We are not responsible for the acts, decisions, or fees of ASIC, the ABR, the ATO, or any other government body.
11. Privacy
We handle your personal information in accordance with our Privacy Policy and the Australian Privacy Principles.
12. Governing law
These terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.
