Why a corporate trustee

With individual trustees, every asset of the trust is legally titled in the trustees' personal names. When someone resigns, passes away, or is replaced, every asset has to be re-titled — expensive, disruptive, and sometimes impossible if the assets are overseas or on a register that charges for every change.

A corporate trustee is a company whose only job is to act as trustee. The company owns the trust's assets. When directors change, the company keeps existing — no re-titling, no scramble.

A corporate trustee also limits personal liability. Individual trustees are personally liable for trust obligations unless explicitly indemnified — a company trustee's directors are not (subject to the usual director duties).

Why a special-purpose constitution

ASIC charges a standard $329/year annual review fee for a regular Pty Ltd. If the company's sole purpose is acting as trustee of a self-managed super fund (and the constitution says so), ASIC registers it as a special purpose company and applies the discounted $67/yearfee instead. That's a $262/year saving, every year, for the life of the company.

Trustees of family and other trusts don't qualify for the special purpose fee — ASIC reserves it for super trustees, home unit companies, and not-for-profits — so they pay the standard $329/year. The trustee-only constitution still matters: it keeps liability cleanly inside the trustee role.
